ROLE OVERVIEW

Fidostra is seeking a Transaction Manager to take responsibility for the administration of loan agency mandates and institutional financing transactions.

The role involves the interpretation and implementation of finance documents, the administration of facility mechanics and the coordination of borrowers, lenders, legal advisers, account banks and other transaction parties. You will support transactions from onboarding and financial close through drawdowns, interest periods, repayments, amendments, waivers, transfers and other lifecycle events.

This is an execution-focused position requiring sound judgement, strong organisational skills and a detailed understanding of loan documentation and transaction mechanics. The role operates within defined review, approval and escalation processes.

KEY RESPONSIBILITIES

  • Coordinate the onboarding, establishment and ongoing administration of loan agency mandates and institutional financing transactions.
  • Review facility agreements, intercreditor agreements, security documents, fee letters and other relevant finance documentation.
  • Prepare transaction summaries, operational procedures, responsibility matrices, closing checklists and lifecycle calendars.
  • Coordinate borrowers, lenders, legal advisers, account banks and other transaction parties throughout the financing lifecycle.
  • Support financial close by monitoring conditions precedent, funding requirements, closing deliverables and outstanding documentation.
  • Administer facility mechanics, including utilisations, drawdowns, rollovers, rate settings, interest periods, repayments, prepayments, fees and other transaction events.
  • Prepare and verify calculations relating to interest, fees and principal in accordance with the finance documents and approved procedures.
  • Coordinate documented payment mechanics and information flows with borrowers, lenders, account banks and other relevant parties.
  • Prepare and distribute notices, reports, certificates and other transaction communications.
  • Monitor contractual deadlines, reporting dates, financial undertakings and outstanding deliverables.
  • Administer amendment, waiver and consent processes, including the collection, recording and communication of lender responses.
  • Maintain lender registers and process assignments, transfers and changes to lender participation.
  • Liaise professionally with borrowers, lenders, legal advisers and other counterparties to resolve administrative and operational queries.
  • Support successor agency, refinancing, restructuring and transaction transition processes where applicable.
  • Identify discrepancies, missing information and matters requiring escalation and coordinate their resolution in accordance with internal procedures.
  • Support client onboarding, KYC reviews and conflict-management processes relating to new and existing mandates.
  • Maintain complete transaction records, document repositories, decision logs, review dates and audit trails.
  • Handle confidential and transaction-sensitive information in accordance with applicable data-protection and information-security requirements.

CANDIDATE PROFILE

  • Typically three or more years of relevant experience in loan agency, syndicated lending, loan administration, banking operations, private credit or transaction administration.
  • Experience gained within a bank, loan agency provider, corporate trust business, debt fund, asset manager, law firm or other financial-services environment would be advantageous.
  • Good understanding of bilateral, club or syndicated loan transactions and the associated documentation.
  • Ability to read and interpret facility agreements, intercreditor arrangements, security documents and other finance documentation.
  • Understanding of transaction mechanics relating to drawdowns, interest periods, repayments, fees, lender voting, amendments, waivers and transfers.
  • Strong numerical skills and the ability to prepare and review transaction calculations accurately.
  • Ability to manage several mandates, workstreams and competing deadlines in parallel.
  • Clear, confident and professional communication with borrowers, lenders, advisers and other transaction parties.
  • Strong attention to detail and a structured, dependable and proactive working style.
  • Sound judgement and the ability to identify issues requiring escalation.
  • High degree of discretion when handling confidential and transaction-sensitive information.
  • Experience with LoanIQ or comparable loan agency and loan administration systems would be advantageous.
  • A degree or relevant professional qualification in business, finance, economics, law or a related discipline is desirable; equivalent practical experience will also be considered.

LANGUAGE SKILLS

  • Professional fluency in German and English, both written and spoken, is required.
  • Additional European language skills would be advantageous.
